Governing your use of the Flux website.

1. About these Terms
These Terms of Service ("Terms") govern your access to and use of the website at flux.inc (the "Website"), operated by Flux Systems Pty Ltd ("Flux", "we", "us", "our").
By accessing the Website you agree to be bound by these Terms. If you do not agree, do not access or use the Website.
These Terms govern access to the Website only. Access to the Flux platform (the "Platform") is by invitation and is governed by a separate written agreement between Flux and the relevant business customer. In the event of any inconsistency between these Terms and that written agreement, the written agreement prevails in respect of access to the Platform.
2. Permitted Use
You may access and use the Website for the purpose of obtaining information about Flux and our products and services. You must not:
- Use the Website for any unlawful purpose or in breach of these Terms;
- Attempt to gain unauthorised access to any part of the Website, the underlying server, network, or system;
- Interfere with, disrupt, or impose an unreasonable load on the Website;
- Scrape, mirror, harvest or systematically extract content from the Website except for personal, non-commercial review purposes;
- Use the Website to transmit malicious code, malware, or content that infringes the rights of others;
- Use the Website in a manner that suggests an association, endorsement, or affiliation with Flux that does not exist.
3. Intellectual Property
All content on the Website, including text, graphics, logos, images, software and audiovisual content (the "Content"), is owned by Flux or its licensors and is protected by Australian and international intellectual property laws.
The trade marks "Flux", "Flux Systems", and associated logos and designs are trade marks of Flux. You must not use them without our prior written consent.
You may view, cache for browser performance purposes, and print pages of the Website for personal, non-commercial use, subject to the restrictions in Section 2.
4. No Warranties (Subject to Consumer Guarantees)
To the maximum extent permitted by law, and except for any consumer guarantees that apply under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) (the "ACL") and which cannot lawfully be excluded:
- the Website and Content are provided "as is" and "as available";
- Flux makes no representation or warranty regarding the accuracy, completeness, currency, reliability or suitability of any Content; and
- Flux does not warrant that the Website will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
Nothing in these Terms purports to exclude, restrict, or modify any consumer guarantee, condition, warranty, right or remedy implied or imposed by the ACL or any other law where to do so would be unlawful.
5. Limitation of Liability
To the maximum extent permitted by law:
(a) Flux's liability for failure to comply with a consumer guarantee under the ACL in respect of any goods or services not of a kind ordinarily acquired for personal, domestic or household use or consumption is, pursuant to section 64A of the ACL, limited at Flux's election to:
(i) in the case of services: the supply of the services again, or the payment of the cost of having the services supplied again; and
(ii) in the case of goods: the replacement of the goods, the repair of the goods, the supply of equivalent goods, or the payment of the cost of replacing, repairing, or acquiring equivalent goods.
(b) Flux is not liable for any indirect, incidental, special, consequential, or punitive loss or damage, or for any loss of revenue, profits, goodwill, data, business opportunity, or anticipated savings, arising out of or in connection with your use of the Website, even if Flux has been advised of the possibility of such loss.
(c) Flux's aggregate liability to you for any claim arising out of or in connection with the Website or these Terms is limited to AUD $100.
The limitations in this Section 5 do not apply to liability that cannot be excluded or limited by law.
6. Indemnity
You indemnify Flux against any claim, loss, damage, cost or expense (including reasonable legal costs) arising out of or in connection with your breach of these Terms or your unlawful or negligent use of the Website, except to the extent the loss is caused by Flux's own breach, negligence, or wilful misconduct.
7. External Links and Third-Party Services
The Website may contain links to third-party websites or services, or invoke third-party services (including analytics providers and payment processors). Flux is not responsible for the content, accuracy, or practices of those third parties. You access them at your own risk and subject to their respective terms.
8. Privacy
Our handling of personal information is governed by our Privacy Policy at flux.inc/privacy, which forms part of these Terms.
9. Termination
Flux may suspend or terminate your access to the Website at any time, without notice, for any reason including breach of these Terms. Sections 3, 5, 6, 10 and 11 survive termination.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Victoria, Australia, and the Commonwealth of Australia where applicable.
You submit to the exclusive jurisdiction of the courts of Victoria, Australia, and the courts competent to hear appeals from those courts, in respect of any dispute arising under or in connection with these Terms.
11. General
Entire agreement. These Terms, together with the Privacy Policy and the Payments & Refund Policy, constitute the entire agreement between you and Flux regarding your use of the Website.
Severability. If any provision of these Terms is found by a court of competent jurisdiction to be unenforceable, the remaining provisions remain in full force.
Waiver. A failure or delay by Flux in exercising any right under these Terms is not a waiver of that right.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. Flux may assign these Terms in connection with a corporate transaction.
Variation. Flux may amend these Terms by posting an updated version on the Website. Your continued use of the Website after changes are posted constitutes acceptance of the updated Terms.
